Terms of Service

These Terms of Service ("Terms") govern your use of the website at blueroad.ai, the BlueRoad web and mobile applications, and the resident project pages (together, the "Services") provided by Blueroads LLC ("BlueRoad," "we," "us"). By using the Services, you agree to these Terms.
If your company has signed a SaaS Services Agreement with BlueRoad, that agreement governs your company's use of the Services, and where it conflicts with these Terms, the agreement controls. These Terms still apply to anything the agreement does not cover.
1. The Services
BlueRoad provides software for road construction contractors: reading bid documents and plans, mapping streets and measuring pavement from aerial imagery, scheduling crews and materials, and communicating with residents about construction projects. We may change, add or remove features at any time.
2. Accounts
To use the application you need an account, which is created by BlueRoad or by an administrator at your company. You must give accurate information, keep your password secure, and tell us right away at contact@blueroad.ai if you think your account has been used without permission. You are responsible for activity under your account. You must be at least 18 to have an account.
3. Acceptable use
You agree not to:
- use the Services for anything unlawful or in violation of these Terms;
- upload content you don't have the right to use, or content that is harmful, infringing or malicious;
- try to access another customer's account or data;
- reverse engineer, decompile, scrape or copy the Services or any part of them, or attempt to discover our source code, models or algorithms;
- resell, sublicense or provide the Services to third parties, or use them to build a competing product;
- interfere with the Services, probe them for vulnerabilities, or circumvent any security or usage limits;
- use the resident notice features to send anything other than information about a construction project, or to contact anyone who has unsubscribed;
- remove any proprietary notices from the Services.
We may suspend or close accounts that violate these Terms.
4. Your content
You keep ownership of everything you upload to the Services ("Your Content"). You give us a license to host, process, copy, display and transmit Your Content as needed to provide the Services to you, including processing it with our own and third-party AI models. You are responsible for Your Content and confirm you have the rights needed to upload it.
We may collect and analyze information about how the Services are used and how they perform, including information derived from Your Content, and use it to improve and develop the Services. We share such information with third parties only in aggregated or de-identified form.
5. Outputs are estimates
The Services produce quantities, takeoffs, schedules and other outputs using automated measurement and AI. These outputs are estimates for your review. You are solely responsible for verifying them and for all bids, pricing, scheduling and construction decisions you make using the Services. BlueRoad is not a licensed engineer, surveyor or estimator and does not provide professional services.
6. Residents and project pages
Project pages and notices are published on behalf of the contractor doing the work. The contractor is responsible for the accuracy of project information. If you are a resident, you may unsubscribe from project emails at any time using the link in any email. Questions about a specific project should go to the contractor named on the project page.
7. BlueRoad's property
The Services, including all software, models, designs, text, graphics and trademarks, belong to BlueRoad or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, we grant you no rights in them. If you send us feedback or suggestions, we may use them without obligation to you.
8. Fees
Fees for the Services are set out in your company's agreement or order form. Where you pay through the Services, you authorize us and our payment processor to charge the applicable fees. Fees are non-refundable except as stated in your agreement or required by law. Usage-based charges, such as printed and mailed notices, are billed as described in the Services at the time of order.
9. Third-party services
The Services rely on third-party providers for hosting, mapping, imagery, AI processing, payments and mailing. We are not responsible for those providers' services or for interruptions caused by them. Map and imagery data may be out of date or inaccurate.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BLUEROAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BLUEROAD AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST DATA OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. BLUEROAD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow these limits, so some may not apply to you.
12. Indemnity
You agree to defend and indemnify BlueRoad against claims, damages and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Services, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if your company's agreement ends. On termination, your right to use the Services ends, and the sections of these Terms that by their nature should survive (including Sections 4, 5, 7 and 10 through 15) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at contact@blueroad.ai and attempt to resolve the dispute informally for 30 days.
15. General
These Terms, together with our Privacy Policy and any agreement your company has signed with us, are the entire agreement between you and BlueRoad about the Services. If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. We may update these Terms by posting a new version with a new effective date; continued use after a change means you accept it, and for material changes we will notify account holders by email.
